Terms of Service

Version 3.1 · Effective 2026-10-14

TenetDocs Terms of Service

1. Agreement to Terms

By creating an account, accessing, or using the TenetDocs platform (the "Service", operated by TenetLoop, Inc., a Delaware corporation, "TenetDocs", "we", "us"), you ("Customer", "you") agree to these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business (unless you don't have this authority, in which case "you" refers to you personally).

2. The Service

TenetDocs is a chat-first, multi-tenant business platform. Each business ("tenant") that signs up gets an isolated workspace to define how it operates, manage its records, and interact with an AI assistant.

2.1 Text Messages

If you opt in at https://tenetdocs.com/sms-alerts, TenetLoop, Inc. sends you recurring account and security text messages: sign-in verification codes, payment and billing alerts, support replies, and service-status notices. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to cancel at any time. Opting in is optional and is not a condition of using TenetDocs or of any purchase. Our [Privacy Policy](https://tenetdocs.com/privacy) explains how we handle your mobile number, and we do not sell, rent or share it or your consent with third parties or affiliates for marketing.

3. Accounts, Eligibility & Security

You must provide accurate registration information, be authorized to act for the business you represent, and safeguard your account credentials. You must notify us promptly of any suspected unauthorized access. You are responsible for utilizing any account protections (such as two-factor authentication) that we make available and you bear the consequences from foregoing available additional protections.

4. Acceptable Use

You will not use the Service unlawfully, to infringe another's rights, to attempt to access another tenant's data or bypass tenant isolation, to reverse-engineer the Service, or to overload/abuse it. You remain responsible for content your authorized users submit.

5. Subscriptions, Fees & Payment

Fees are billed per your selected plan and the then-current pricing. Subscriptions renew automatically unless canceled before the renewal date. You are responsible for taxes on your subscription, which the law may require us to collect from you and remit. We may suspend access for non-payment after notice.

6. Your Data

We distinguish two categories of data you put into the Service:

You retain ownership of both. You are solely responsible for having a lawful basis and providing any notices or obtaining any consents required from your own clients before entering their information into the Service as Client Data.

7. Privacy & Data Protection

7.1 Definitions

As used in this Section, the following terms mean:

"Affiliate": any entity that directly or indirectly controls, is controlled by, or is under common control with, the subject entity, where "control" is the direct or indirect ownership or control of at least a majority of the voting rights in the entity, or otherwise the power to direct the management and policies of the entity. An entity is an Affiliate only so long as such control continues.

"CCPA": (i) the California Consumer Privacy Act of 2018, Cal. Civ. Code § 1798.100 et seq, as amended from time to time including by the California Privacy Rights Act of 2020, and (ii) any regulations promulgated pursuant under, or to implement, the California Consumer Privacy Act of 2018, as amended.

"process": to perform any operation or set of operations data or on sets of data, whether or not by automated means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.

The terms "business," "collect," "consumer," "personal information," "sell" and "share" have the respective meanings ascribed to them by the CCPA.

7.2 Restrictions on Processing of Client Data

TenetLoop agrees that it shall not:

7.3 CCPA Compliance

You and us each acknowledge and agree that:

8. AI Features

The Service uses AI/large-language-model features to assist with chat, record-keeping, and workflow authoring. As AI is probabilistic and not deterministic, you are responsible for overseeing the AI, evaluating its recommendations or actions, and approving all AI outputs.

9. Intellectual Property

We own the Service and its underlying software. You retain ownership of your Account Data and Client Data. You grant us the license necessary to host, copy, transmit, display, and use that data in order to provide, administer, and ensure the proper operation of the Service and related systems and as you elect in the [Privacy Policy](https://tenetdocs.com/privacy) or in-Service controls.

10. Term, Suspension & Termination

These Terms remain in effect while you have an active account. Either party may terminate as provided in your order/plan. We may suspend or terminate access for breach of these Terms, non-payment, unlawful use, or risk to the Service or other tenants, with notice where reasonably practicable. After termination you may export your data for 30 days before it is deleted, unless you request earlier deletion.

11. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT GUARANTEE THAT THE SERVICE OR ITS OUTPUTS WILL MEET YOUR OR YOUR CLIENTS' NEEDS, BE ACCURATE, SECURE, UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR COMPLY WITH ANY LAWS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING IF THE SYSTEM OUTPUTS ARE ACCURATE AND SUFFICIENT FOR YOUR PURPOSES. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES. THIS INCLUDES LOSS OF DATA, REVENUE, PROFITS, OR ECONOMIC ADVANTAGE. THIS LIMIT APPLIES TO CLAIMS IN CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND THE INDEMNITY OBLIGATIONS IN THIS AGREEMENT, EACH PARTY'S MAXIMUM TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

13. Indemnification

We will defend and indemnify you against all third-party claims that the Service infringes or misappropriates a third party's intellectual property rights. Indemnification will not apply if the infringement claim results from: (i) modifications made to the Service by anyone else outside of us; (ii) using the Service combined with third-party software, systems, or hardware not supplied by us; or (iii) using the Service against our written instructions. If a claim occurs or is likely to occur, we may, at our expense: (i) get you the right to keep using the Service; (ii) fix the Service so it does not infringe while keeping its core functions; or (iii) terminate the Service and refund any prepaid, unused fees.

You will defend and indemnify us against all third-party claims relating to: (i) your use of the Service (unless caused directly by our gross negligence or willful misconduct); (ii) your violation of this agreement that harms a third party; (iii) any content, information, or materials you provide into the Service; or (iv) Infringement of a third party's intellectual property rights or privacy rights by you or anyone using your account. As these claims relate to the Service, we may choose to take exclusive control and defense of any claim covered by your indemnity. If we do, you must reasonably assist and cooperate with us in defending the legal proceeding.

In the event of a potential indemnity obligation under this Section, the indemnified party shall provide to the indemnifying party: (i) prompt written notice of the claim or a known threatened claim, such that the indemnifying party's ability to defend the claim is not prejudiced; and (ii) control of, and reasonable assistance in, the defense and settlement of the claim, at the indemnifying party's expense. Without the prior written consent of the indemnified party, the indemnifying party shall not settle (or consent to an adverse judgment) in a way that adversely affects the rights or interests of, or imposes additional obligations on, the indemnified party.

14. Governing Law & Disputes

This agreement is governed by California law, excluding choice of law provisions. Any dispute between the parties arising out of this agreement will be resolved by the courts in San Francisco, California.

15. Changes to these Terms

We may update these Terms from time to time. A new version takes effect as soon as it is published, with its version number and the date shown at the top of the published Terms page; where a change is material, we also email the address on your account when it is published. Continuing to use the Service after a new version is published means you accept it; if you do not agree, you must stop using the Service.
